These Terms and Conditions describe how you may use the Haas Strategy Solutions website at haasstrategy.com ("Site"), what content belongs to whom, and the limits of our responsibility for the information provided here. By using the Site, you agree to these terms. If you do not agree, do not use the Site.
You may use the Site to learn about our strategy services, download materials we make available, and submit your name and contact information to receive content or follow-up. You agree to use the Site only for lawful purposes.
You may NOT:
Use the Site for any illegal purpose
Attempt to gain unauthorized access to any portion of the Site or its systems
Use automated tools (bots, scrapers, crawlers) to access or copy content from the Site, except for legitimate search engine indexing
Use AI training crawlers, large language model ingestion tools, or similar automated systems to ingest Site content for machine learning training without our written consent
Interfere with the Site's operation or security
Reverse-engineer or attempt to extract source code from the Site
2. Intellectual Property
All content on this Site, including text, graphics, downloads, logos, and branding, is the property of HSS or its content providers and is protected by copyright and trademark laws. Haas Strategy Solutions, HSS, and related logos and names are trademarks of HSS.
You may view and download materials for personal, non-commercial use only. You may not:
Copy, redistribute, or modify any content without written permission
Misrepresent our content as your own
Use Site content as input for AI training, dataset building, or model fine-tuning
Methodologies, frameworks, and processes described on the Site or in downloadable materials are proprietary to HSS where original. Where they draw on established literature, attribution is provided in the relevant materials.

4. No Advice, No Engagement
The information on this Site is provided for general informational purposes only. It does not constitute professional, legal, financial, or strategic advice for any specific situation.
Reading content, downloading materials, or completing assessments on this Site does not create a consultant-client relationship between you and HSS. Such a relationship exists only when both parties have signed a written engagement agreement.
Strategic decisions are inherently context-specific. Any actions you take based on Site content are your own responsibility.
5. Limitation of Liability
We are not responsible for any direct or indirect damages arising from your use or misuse of this Site or its contents. This includes:
Errors or inaccuracies in the content
Interruption of service
Reliance on Site information for business decisions
Unintended use of downloads or assessment results
HSS's total liability arising from any claim related to your use of the Site is limited to $100 (one hundred dollars). Any claim must be brought within ninety (90) days of the event giving rise to the claim, or it is permanently waived.
This limitation applies only to claims arising from your use of the Site. Any engagement, advisory relationship, or service agreement between you and HSS is governed solely by the written engagement agreement signed by both parties. Nothing in these Terms modifies, limits, or controls the rights, obligations, or liability provisions of any such engagement agreement. Claims arising from an engagement must be brought under that engagement's terms, not these Terms.

6. Indemnification
You agree to indemnify and hold harmless HSS, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your violation of these Terms, or your violation of any rights of a third party.
7. Third-Party Links and Embedded Tools
The Site may link to or embed tools from third-party services, including Calendly, Substack, ScoreApp, and similar providers. These services are provided for convenience only. HSS does not control or endorse third-party content and is not responsible for their accuracy, privacy practices, or terms of service. Use of these tools is governed by their own terms and policies.
8. Changes to These Terms
We may update these Terms at any time. Material changes will be reflected by an updated Effective Date. Continued use of the Site after changes are posted means you accept the updated Terms.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Maryland, USA, without regard to conflict of law principles.
Any dispute arising from these Terms or your use of the Site shall be resolved by binding arbitration in Montgomery County, Maryland, under the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.
You and HSS waive any right to a jury trial or to participate in a class action.
10. Severability
If any provision of these Terms is found unenforceable by a court or arbitrator, the remaining provisions shall continue in full force and effect.
11. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and HSS regarding your use of the Site. They supersede any prior agreements or communications regarding Site use.
12. Electronic Communications
By using the Site, you consent to receive communications from HSS electronically. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
